الملياردير المراكشي « العلمي » يقتني أسهم من الشركة العامة للأبناك

كشفت مجموعة « سهام » التي تعود الى مولاي حفيظ العلمي، اليوم الجمعة رسميا، عن إبرام صفقة شراء ستسمح باقتناء 57.67 بالمائة من رأسمال الشركة العامة المغربية للأبناك مع فروعها، بقيمة 745 مليون أورو .
ووفق ما كشفت المجموعة، فمن المتوقع إتمام مشروع امتلاك « سهام »، للشركة العامة للأبناك الفرنسية، في متم سنة 2024، حيث سيفضي إلى إطلاق العرض العمومي الإجباري للشراء على أسهم إكدوم « (EQDOM)“ المدرجة ببورصة الدار البيضاء، بعدما باتت تملك قناعة راسخة بأن الشركة العامة المغربية للأبناك وفروعها، بالنظر إلى تموضعها ومتانتها المالية وجودة رأسمالها البشري، تشكل منصة ذات أسس صلبة لمنح المغرب مجموعة بنكية مالية وطنية جديدة.
واضاف ذات البلاغ فستواصل الشركة العامة الفرنسية، مرافقة الشركة العامة المغربية للأبناك خلال فترة انتقالية، حتى تتمكن من الاندماج بشكل فعلي داخل مجموعة « سهام ».
وعلى هامش هذا التوقيع، الذي تم أمس بباريس، قال رئيس مجموعة « سهام »، مولاي حفيظ العلمي : » نحن سعداء بامتلاك هذه الحصة، وضمها إلى الأصول طويلة المدى لمجموعة سهام « ، مضيفا أن « مجموعة سهام تسير على النهج الذي رسمه الملك محمد السادس المتمثل، في عدد من الاستراتيجيات المتتالية التي تساهم في تعزيز الاستثمار في اقتصاد المملكة من طرف المستثمرين المغاربة ».
من جهته، أكد سلافومير كروبا، المدير العام لمجموعة الشركة العامة: » لقد بنت الشركة العامة على مدى عقود مؤسسة بنكية قوية في المغرب، تشتغل لخدمة أكثر من مليون زبون؛ نحن مقتنعون بأن جودة مشروع الامتلاك من مجموعة سهام ستفتح آفاق جديدة لتطوير أنشطته وستمكن من خلق قيمة مضافة للزبناء والموارد البشرية للبنك ».
من جهتها، أعلنت مجموعة Société Générale الفرنسية، بدورها، عن إبرام عقد مع مجموعة سهام، لمالكها مولاي حفيظ العلمي، يقضي بيع الشركة العامة المغربية للأبناك بما في ذلك الشركات التابعة لها و La Marocaine Vie. كما حددت المجموعتان الخطوط العريضة لشراكة تجارية طويلة الأمد.
وقالت المجموعة الفرنسية إن مجلس إدارة Société Générale، المنعقد برئاسة لورنزو بيني سماغي يوم 11 أبريل 2024، وافق على توقيع هذه العقود التي تنص على بيع أسهم مجموعة Société Générale (57,67%) في الشركة العامة المغربية للأبناك، بما في ذلك الشركات التابعة لها وبيع جميع الأسهم المملوكة لشركة Sogécap في شركة التأمين La Marocaine Vie.
وبالتالي، ستتولى مجموعة سهام كافة الأنشطة التي تديرها هذه الشركات التابعة، بالإضافة إلى الحفاظ على جميع موظفي هذه المؤسسات.
كما كشفت الشركة العامة الفرنسية، عن تنفيذ هذه الصفقة مع مجموعة « سهام » بسعر 745 مليون يورو، وسيكون لها تأثير إيجابي يقدر بنحو 15 نقطة أساس على نسبة CET1 للمجموعة عند الانتهاء من الصفقة التي يمكن أن تتم بحلول نهاية عام 2024.
وتجدر الاشارة إلى أن عملية البيع تضم أيضا إلى جانب الشركة العامة الفرنسية، باقي الشركات التابعة لها وهي: Société d’équipement Domestique et Ménager” EQDOM” (التمويل المتخصص)، “La Marocaine Vie” (التأمين)، “Société Générale de Leasing au Maroc” (التمويل المتخصص)، “Investima SA “(بنك)، “Sogecapital Gestion” (شركة مالية)، Sogecapital Placement (شركة محفظة)، “Sogecapital Bourse” (الوساطة في سوق الأوراق المالية).
وتبقى الصفقة التي أبرمتها مجموعة « سهام »، مرهونة بالحصول على موافقة من كل من بنك المغرب ومجلس المنافسة، وهيئة مراقبة التأمينات والاحتياط الاجتماعي (ACAPS)، و” الهيئة المغربية لسوق الرساميل (AMMC)”.
