العملاق العالمي في الأغذية « ويلمار » يبيع كافة أسهمه في « كوسومار » المغربية بضعف سعرها يوم شرائها

أعلنت الهيئة المغربية لسوق الرساميل أن شركة ” Wilmar Sugar Holdings PTE. LTD ” قامت ببيع كل أسهمها الـ30.1 في المائة، في رأسمال “كوسومار” (Cosumar).
وأشارت الهيئة، في بلاغ لها، إلى أن شركة Wilmar Sugar Holdings PTE. LTD صرحت بأنها قامت يوم 30 نونبر 2023، ببيع، 26 مليون و861 ألف و505 سهم لـ”كوسومار”، وذلك في سوق الكتل بسعر 210 درهم للسهم للعديد من المستثمرين (شركة Sucden التعاضدية المركزية المغربية للتأمين والتعاضدية الفلاحية المغربية للتأمين والنظام الجماعي لمنح رواتب التقاعد والصندوق المهني المغربي للتقاعد والبنك الشعبي المركزي وبعض صناديق الاستثمار)، متجاوزا بذلك نحو الانخفاض حدود المساهمة بنسبة 20 و10 و5 في المائة في رأسمال الشركة المذكورة.
قيمة البيع وصلت إلى 5.96 مليارات درهم، أي ما يعادل 812.3 مليون دولار.
كانت الشركة قد اقتنت هذه الأسهم عام 2013، بقيمة 2.3 مليار درهم، أي ما يعادل 263 مليون دولار بأسعار الصرف آنذاك.
وأورد المصدر ذاته أنه على إثر هذه المعاملة، صرحت شركة Wilmar Sugar Holdings PTE. LTD أنها لم تعد تملك أي سهم من أسهم “كوسومار”، سواء بشكل مباشر أو غير مباشر (من خلال الشركة التابعة لها Wilmar Sugar PTE LTD والتي تعلن أنها تعمل بالتنسيق معها).
وفي التفاصيل، قامت شركة ” Sucre et Denrées SA” بشراء 1 مليون و889 و743 سهم من ” Wilmar Sugar Holdings PTE. LTD “، متجاوزة بشكل غير مباشر نحو الارتفاع حدي المساهمة بنسبة 5 و10 في المائة من رأسمال “كوسومار”.
من جهتها، قامت شركة Sucden Maroc SAS، التابعة لـ” Sucre et Denrées SA “، باقتناء 7 ملايين و558 ألف و971 سهما، متجاوزة بشكل مباشر نحو الارتفاع حد المساهمة بنسبة 5 في المائة في رأسمال “كوسومار”.
وعلى إثر هذه المعاملة، بلغت المساهمة الإجمالية، المباشرة وغير المباشرة، لـ Sucre et Denrées SA في رأسمال “كوسومار” نسبة 10 في المائة.
وفي ما يتعلق بالتعاضدية الفلاحية المغربية للتأمين، فقد اشترت 4 ملايين و924 ألف و291 سهما لـ”كوسومار”، متجاوزة بشكل مباشر نحو الارتفاع حد المساهمة بنسبة 5 في المائة في رأسمال الشركة المذكورة. وبلغت مساهمتها الإجمالية، المباشرة وغير المباشرة، 7,02 في المائة.
ووفقا للهيئة المغربية لسوق الرساميل، أعلنت التعاضدية الفلاحية المغربية للتأمين أنها تعمل باتفاق مع التعاضدية المركزية المغربية للتأمين، والنظام الجماعي لمنح رواتب التقاعد، وتعاضدية التأمين الشعبي، و”تأمين الوفاء”.
وفي ما يتعلق بالتعاضدية المركزية المغربية للتأمين، فقد اقتنت 5 ملايين و800 ألف سهما لـ”كوسومار”، متجاوزة بشكل مباشر نحو الارتفاع حد المساهمة بنسبة 5 في المائة في رأسمال الشركة المذكورة. وعلى إثر هذه المعاملة، أعلنت هذه التعاضدية امتلاك 9,85 في المائة من رأسمال “كوسومار”.
وبالنسبة للنظام الجماعي لمنح رواتب التقاعد، فقد اقتنى مليونين و761 ألف و904 أسهم لـ”كوسومار”، متجاوزا بشكل مباشر نحو الارتفاع حد المساهمة بنسبة 10 في المائة من رأسمال الشركة المذكورة. وبعد هذه العملية، بلغت المساهمة الإجمالية، المباشرة وغير المباشرة، للنظام المذكور في رأسمال “كوسومار” نسبة 11,91 في المائة.
